Attorney Hero Terms of Use and Community Guidelines

These Terms of Use (“Terms”) govern your access to and use of the Attorney Hero platform, which is a private, peer-to-peer discussion forum created for licensed U.S. attorneys.  The platform is designed to support solo and small firm practitioners, as well as attorneys exploring those paths, by providing a professional space for sharing insights, experiences, resources, and wellness. 

Attorney Hero is sponsored and moderated by ALPS Corporation (the “Company”), which also provides the technical and operational infrastructure for the platform.  These Terms set out your rights and responsibilities as a user, the rules of participation, and the conditions under which your account may be suspended or terminated. 

By using this platform, you acknowledge that it is not intended for legal advice, client referrals, commercial solicitation, OR CLAIM SUBMISSION.  

YOUR PRIVACY IS IMPORTANT TO US

We respect your privacy and the confidentiality of your professional information.  The Company does not use your personal information obtained from the Services for advertising, targeting, or marketing purposes.   

We do not sell or share user data with third parties for promotional use except as required by law or lawful order.  Information you provide through the Service is used solely for platform functionality, user verification, moderation, and security.  

The Service is sponsored by the Company, but is operated separately from any insurance policy, underwriting, or claims process. 

Accordingly: 

A.) The Company will not and cannot accept notice of a claim or potential claim via this platform and Service.

B.)Submitting a post or message here does not constitute formal notice of the Company under any insurance policy. 

Content or activity within the Service is not used by the Company to determine insurability, set rates, or evaluate coverage or claims.   This community is intended strictly for peer-to-peer professional support and discussion. 

By accessing or using the Attorney Hero community platform, website, or related services (the “Services”), you agree to be bound by these Terms, all applicable laws and regulations, and represent that you are responsible for compliance with them.  If you do not agree to these Terms, you may not access or use the Services.  

You must be at least 18 years old (or the age of majority in your jurisdiction, if higher) to use the Services.  You represent and warrant that you are licensed and in good standing with a U.S. state bar.  Residency within the United States is not required, but U.S. licensure is. 

You are granted a limited, revocable license to access and use the Services solely for personal, non-promotional purposes and only in compliance with these Terms.  This license does not transfer any ownership rights to you.  All rights not expressly granted are reserved by the Company.   

You may not: 

A.) Modify, copy, distribute, or reproduce any content or materials from the Platform without prior written permission. 

B.) Use the Services for any unauthorized commercial purpose, including lead generation, solicitation, or business promotion. 

C.) Solicit, advertise, or pitch products or services to other users, whether in public forums or via private messages.  Note: Genuine, good-faith recommendations of tools or resources for discussion purposes are permitted. 
D.) Attempt to reverse-engineer, interfere with, probe, or gain unauthorized access to any part of the platform. 
E.)Remove, obscure, or alter any proprietary notices or legal disclaimers. 
F.) Misrepresent your identity, license status, jurisdiction, or professional affiliations in any way. 

THIS LICENSE WILL AUTOMATICALLY TERMINATE IF YOU VIOLATE ANY OF THESE RESTRICTIONS OR THOSE OUTLINED IN THE ENTIRETY OF THESE TERMS, COMMUNITY GUIDELINES ("GUIDLINES") INCORPORATED WITHIN, AND THE LINKED PRIVACY POLICY FOR THE COMPANY. THE COMPANY MAY ALSO SUSPEND OR TERMINATE YOUR LICENSE OR ACCOUNT AT ANY TIME, WITH OR WITHOUT NOTICE, SUBJECT TO APPLICABLE LAW, FOR ANY REASON CONSISTENT WITH THESE TERMS.

To access and participate in the Services, you must create an account and provide accurate, current, and complete information, including your professional credentials. You represent that you meet all eligibility requirements described in these Terms. 

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.  If you suspect any unauthorized access or use of your account, you agree to notify the Company immediately.  

The Company reserves the right to: 

A.) Verify your licensure and identity using personal contact, public, or private data sources; 

B.) Maintain records of your agreement to these Terms, including the date and time of acceptance, login activity, account access, and backups of its data;

C.)Manage, restrict, deactivate, or remove any account, at its sole discretion, with or without notice subject to applicable law; and, 

Creating or maintaining an account under false or misleading information, or misrepresenting your license status, is a material breach of these Terms and may result in immediate removal from the platform. 

You are solely responsible for all content, posts, messages, links, media, or other materials you submit, share, or transmit on the Service (“User Content”).  You agree that all User Content must comply with these Terms, the Community Guidelines below, and applicable law. 

We're here to maintain a safe and useful space.  You retain ownership of your User Content.  However, by posting or sharing it through the Services, you grant the Company a non-exclusive, worldwide, royalty-free license to host, display, store, and reproduce such content for the purpose of operating and maintaining the Platform.  

7. Copyright Infringement and DMCA Policy 
The Company respects the intellectual property rights of others and complies with the Digital Millennium Copyright Act (DMCA).  If you believe that any User Content posted on the platform infringes your copyright, you may submit a written notification to our designated agent, including: 
A.) A description of the copyrighted work claimed to have been infringed

B.) A description of the material that is claimed to be infringing and where it is located on the platform 

C.) Your name, address, email, and phone number 

D.)A statement that you have a good faith belief that use of the material is not authorized by the copyright owner 

E.) A statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner 

F.)Your physical or electronic signature 

 
Upon receiving a valid DMCA notice, the Company will remove the allegedly infringing material and may take further action in accordance with applicable law. 

The Services are intended solely as a peer-support community.  Neither the community nor the Company provides legal advice, and no attorney–client relationship is formed through participation.  Reliance on User Content is at your own risk. 

The Services are provided “as is” and “as available,” without warranties of any kind, express or implied.  The Company makes no representations or warranties regarding the operation, reliability, availability, security, or accuracy of the Services. 

To the fullest extent permitted by law, the Company disclaims all warranties, including but not limited to: 

A.) Implied warranties of merchantability

B.) Fitness for a particular purpose 

C.)Non-infringement

D.) Any warranties arising from course of dealing or usage of trade 

The Company does not guarantee that the Services will be uninterrupted, error-free, or secure, or that any defects will be corrected. 

To the fullest extent permitted by law, the Service, the Company, its affiliates, and service providers shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services. 

This includes, without limitation: 

A.) Loss of data 

B.) Loss of profits or revenue 

C.) Business interruption or opportunity loss 

D.) Reputational harm 

These limitations apply regardless of the legal theory under which the claim is brought, including contract, tort (including negligence), strict liability, or otherwise even if the Company has been advised of the possibility of such damages.  Some jurisdictions do not allow certain exclusions or limitations of liability.  In those cases, liability is limited to the maximum extent permitted by applicable law. 

You agree to indemnify, defend, and hold harmless the Company, its affiliates, officers, directors, employees, and service providers from and against any and all third-party claims, demands, liabilities, damages, losses, or expenses (including reasonable attorneys' fees and costs) arising out of or related to: 

A.) Your use of the Services;

B.) Your User Content; 

C.) Your violation of these Terms; or 

D.) Your infringement of any intellectual property or other rights of a third party (e.g., if you post copyrighted material without permission). 

The Company reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification, in which case you agree to cooperate fully in asserting any available defenses. 

The Services may contain links to third-party websites, platforms, or resources.  These links are provided solely for convenience or informational purposes. Accessing third-party sites or content is done at your own risk, and you should review their terms and privacy policies before engaging with them. 

The Service and the Company do not control and are not responsible for the availability, content, security, or accuracy of any external site or service.  Inclusion of a link does not imply endorsement by the Company or its affiliates. 

The company is committed to ensuring that our platform is accessible to all users, including those with disabilities.  Our goal is to conform to the Web Content Accessibility Guidelines (WCAG) 2.1, Level AA wherever feasible.

We will make reasonable efforts to address accessibility concerns promptly and effectively.  If you have feedback or suggestions regarding accessibility, we encourage you to reach out so we can continue to improve our services.  

The Services are intended primarily for attorneys licensed in the United States.  However, access is not restricted by geographic location. 

If you are accessing the Services from outside the United States, including the European Union or other jurisdictions with data protection laws, you acknowledge and agree that your data may be transferred to, stored in, and processed in the United States. 

By using the Services, you consent to this transfer and to the processing of your information as described in our Privacy Policy. 

We do not target EU users and do not intentionally collect data subject to GDPR.  However, if you believe your data rights are impacted, please contact us at support@attorneyhero.community 

The Service may revise or update these Terms at any time, in its sole discretion, and without prior notice.  Any such changes will become effective upon posting.  By continuing to access or use the Services after changes are posted, you agree to be bound by the revised Terms.  You are responsible for reviewing the Terms periodically to stay informed of any updates.  We may notify you of material changes by email, platform announcement, or other reasonable methods.  Prior Terms are available by contacting the Company.   

These Terms shall be governed by and construed in accordance with the laws of the State of Montana, without regard to its conflict of law provisions. 

Except as otherwise provided below, any claim, dispute, or controversy arising out of or relating to these Terms or your use of the Services shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association (AAA), with arbitration to take place in Montana unless otherwise agreed in writing, and all parties explicitly delegate the determination of arbitrability to arbitrators.  

Each party will bear its own legal costs, and class action claims are waived to the extent permitted by applicable law. 

Notwithstanding the foregoing, either party may seek injunctive or equitable relief in a court of competent jurisdiction in Montana, and Montana state and federal courts shall have exclusive jurisdiction and venue for such actions and for enforcement of any arbitration award.  

NOTE: BY AGREEING TO THESE TERMS, YOU ARE AGREEING TO RESOLVE DISPUTES THROUGH BINDING ARBITRATION, WHICH MEANS YOU WAIVE THE RIGHT TO A TRIAL IN COURT OR TO PARTICIPATE IN A CLASS ACTION, EXPECT IN SPECIFIC CIRCUMSTANCES.
